    Terms of Service

    1. Acceptance

    These Terms of Service ("Terms") govern your access to and use of Ethrocore's websites and Services. By using the Services, you agree to these Terms and our Privacy Policy.

    2. Accounts & Eligibility

    You must be able to form a binding contract and comply with these Terms. You're responsible for account credentials and all activity under your account.

    3. Orders, Subscriptions & Payment

    Fees, billing cycles, usage limits, and terms are set in the applicable order, proposal, or online checkout ("Order"). Unless prohibited by law or stated otherwise in the Order, fees are non-refundable. Late amounts may accrue interest and collection costs. Taxes are your responsibility unless we must collect them.

    4. Customer Data & Hosting Options

    "Customer Data" means data you submit to the Services. You grant us a non-exclusive license to process Customer Data to provide and support the Services and as permitted by these Terms and applicable law. We offer multi-cloud deployment options (e.g., GCP/AWS/Azure) and regional hosting subject to product availability and the Order.

    5. Compliance Options

    Upon request and subject to the Order, we can implement controls to support frameworks such as SOC 2, HIPAA (under a BAA), GDPR/UK GDPR, and Saudi PDPL. Unless expressly stated in the Order, Ethrocore does not warrant that your specific deployment achieves any particular certification or compliance outcome.

    6. Acceptable Use

    You will not: (a) reverse engineer or circumvent security; (b) use the Services unlawfully or in rights-infringing ways; (c) upload malicious code; (d) exceed agreed usage limits or stress/abuse interfaces; (e) process Prohibited Data without our prior written consent. Prohibited Data includes: special category data unless explicitly agreed; cardholder data subject to PCI DSS unless specified; government-classified information; and other regulated data not listed in an Order/BAA/DPA.

    7. IP Ownership

    Ethrocore and its licensors retain all rights, title, and interest in the Services and related IP. Except for the limited rights expressly granted, no other rights are conveyed. You own your Customer Data.

    8. Feedback

    If you provide suggestions or feedback, you grant us a royalty-free, perpetual license to use them without restriction.

    9. Third-Party Services

    Integrations and third-party services are provided by their respective providers under their terms. We are not responsible for third-party services.

    10. Beta/Preview Features

    Betas/previews are provided "as is," may change or discontinue, and are excluded from SLAs and warranties.

    11. Confidentiality

    Each party may access the other's confidential information and will protect it with at least reasonable care and use it only to perform under these Terms.

    12. Security & Data Protection

    We maintain a security program with administrative, technical, and physical safeguards. Where required, we will execute a DPA and/or BAA governing our processing on your behalf.

    13. Warranties & Disclaimers

    We provide the Services using reasonable skill and care. Except as expressly stated in an Order, the Services are provided "as is" and "as available," without warranties of merchantability, fitness for a particular purpose, or non-infringement.

    14. Limitation of Liability

    To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages; and each party's total liability is capped at the amounts paid or payable by you to Ethrocore in the 12 months preceding the claim, excluding: your payment obligations; breach of Section 11 (Confidentiality); and IP infringement/indemnity obligations.

    15. Indemnification

    You will indemnify and hold Ethrocore harmless from third-party claims arising from your unlawful use of the Services or breach of these Terms. Ethrocore will indemnify you for third-party claims alleging that the Services, as provided, infringe IP rights, subject to customary exclusions and your prompt notice/cooperation.

    16. Suspension & Termination

    We may suspend for security, legal, or material-breach reasons. Either party may terminate for uncured material breach (30 days' written notice). Upon termination, you must stop using the Services; we'll make Customer Data export available for a limited time as stated in the Order or our documentation.

    17. Governing Law & Disputes

    These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of the State of Oregon, USA, without regard to its conflict-of-laws rules. Venue & Jurisdiction: The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Multnomah County, Oregon. Jury Trial Waiver: To the extent permitted by law, each party waives the right to a jury trial.

    18. Export & Sanctions

    You will comply with export control and sanctions laws and will not use the Services in restricted countries or for prohibited end-uses.

    19. Force Majeure

    Neither party is liable for delays or failures due to events beyond reasonable control (e.g., natural disasters, war, labor actions, internet/utility failures), excluding payment obligations.

    20. Assignment

    Neither party may assign these Terms without the other's consent, except to an affiliate or in connection with merger, acquisition, or sale of substantially all assets, provided the assignee assumes all obligations.

    21. Notices

    Legal notices to Ethrocore: legal@ethrocore.com and [registered address]. Notices to you may be sent to your account email.

    22. Changes

    We may update these Terms; material changes will be posted with a new effective date. Continued use after changes constitutes acceptance.

    23. Entire Agreement

    These Terms, the Order, and any DPA/BAA constitute the entire agreement and supersede prior agreements on the Services. In case of conflict, the Order controls, then the DPA/BAA, then these Terms.
